The Standards Board, which oversees the code of conduct for local authorities, said allegations against Shrewsbury and Atcham borough councillors Andrew Wagner and Judith Williams should not be referred to an officer for further inquiries to be made.
Buttermarket licence holder Kerry Wycherley complained to the board after a licence review meeting on August 14 which imposed conditions on his licence following a shooting at the venue. He said both councillors should have declared a personal interest.
He complained that Mr Wagner's brother-in-law - Councillor Williams' son - was asked to leave the Buttermarket for "attempting to break venue rules".
It was said as he left he told staff "his mother would close the venue down".
Mr Wycherley complained that at the licence meeting the Buttermarket management group "encountered hostility".
Mr Wagner said he welcomed the standard's board decision. "The allegations were unfounded. The standard's board have made the right decision," he said.
Mrs Williams was unavailable for comment.
